1. Acceptance of Terms

By accessing and using Grant & Funding (the "Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Grant & Funding provides an automated capital matching network and business transformation platform. The Service includes:

  • Funding Discovery: Automated matching to Canadian grants, tax credits (SR&ED), and financing.
  • Transformation Engine: AI-powered business plans and digital maturity roadmaps.
  • Evidence Locker: Secure document storage and synthesis for compliance audits.
  • Marketplace: Facilitated access to cloud credits and specialized business services.

The Service is provided to assist Canadian businesses in capturing capital. Final funding decisions are made exclusively by government agencies or third-party lenders; Grant & Funding does not guarantee program approval.

3. Performance-Based Model

For certain government programs (e.g., SR&ED), Grant & Funding operates on a performance-based success fee model.

  • Zero Risk: You pay nothing until funding is successfully recovered or approved.
  • Success Fee: A percentage of recovered funds (as specified in your program-specific schedule) is due upon receipt of capital.

4. User Responsibilities

To ensure the success of your funding discovery, you agree to:

  • Provide truthful and accurate financial and operational data.
  • Maintain up-to-date business profiles and contact information.
  • Promptly upload required evidence documents to the Evidence Locker.

Misrepresentation of data may lead to disqualification from programs and termination of your access to the platform.

5. Limitation of Liability

Grant & Funding leverages AI to synthesize narratives and match programs. While we strive for 100% accuracy, the Service is provided "as is." We are not liable for:

  • Rejection of applications by government bodies.
  • Inaccuracies in AI-generated business transformation plans.
  • Direct or indirect losses resulting from funding delays or policy changes.

6. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Toronto, Ontario.
